Commercial Legal Counsel Proficient in German (IT) Law

 


Are you interested in working closely with Defence IT projects and Sales teams in a growing IT company developing mission-critical software products? With this job, you can use your legal and commercial skills to support IT project teams in successfully delivering IT projects and closing new contracts. 

 
A highly skilled international team

As Legal Counsel, you will be part of a highly professional and ambitious team in Commercial, Legal and Compliance Services staffed by 26 employees, of which the Legal Team consists of nine employees. The majority of the team is placed at HQ in Denmark, but we also have colleagues based in Romania, Germany and the UK. If you are our new colleague, you will work with us from our office in Aarhus, Denmark or Cologne, Germany. 
 
You will ensure that our contractual agreements are respected and support our business with risk assessment
Our world consists of complex IT contracts, where we sell and deliver to system integrators and public Defence forces around the globe. As Legal Counsel, you will identify the best solutions for generating the best possible value for the business, and you will be a key sparring partner for the business and key stakeholders when it comes to contractual agreements and risks – both in the sales and delivery phases. 

In addition, your work will involve the following tasks:

  • For selected delivery programs/projects: Follow the status closely, prove legal support assessments, and interact with customers and subcontractors during delivery to ensure we fulfil our contractual obligations and fully utilise our rights.
  • For new sales: Identifying risks and solutions in tender material in close cooperation with the business when submitting proposals.
  • In general: Drafting, reviewing and negotiating large and small contracts, e.g., delivery agreements, teaming agreements, NDAs, and subcontracts.

 
The position is expected to focus mainly on public German contracts and customers (especially Deutsche Bundeswehr). However, you can also expect to support sales and delivery internationally. 
 

A solid professional background and a sharp communicator
You will be the Legal Team's internal specialist within German Law and the go-to person for legal questions in a German context. 
In addition: 

  • You have a German Master's degree in Law (second state examination is a plus).
  • You have at least five years of post-qualification relevant experience managing and negotiating commercial contracts (governed by German Law) from an in-house legal department or a law firm.
  • You preferably have experience working with contracts in or knowledge of the Defence sector and have worked with IT- or construction contracts.
  • You are customer-focused and take pride in maintaining a high level of professionalism while at the same time being able to communicate complex legal matters regardless of the recipient's background and across all levels of an organisation (ours as well as customers).
  • You have a commercial and international mindset and are driven by being close to the business where you are keen to contribute.
  • You are curious, have a good technical understanding and are motivated by handling complex issues and contracts.
  • You are fluent in both written and spoken German and English and are happy working in an international environment. 

 
Practical information 

You will cooperate closely with your colleagues in Cologne, Germany, and Farnborough, UK. Therefore, you can expect to travel to Cologne two to three times a year to visit your colleagues and customers from time to time (not expected to be more than 10-15 days a year).
 
Please note that you must hold or be able to obtain security clearance as we work with security-classified projects.
